1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and SaaSVista, Inc. ("SaaSVista," "we," "us," or "our") regarding your use of the SaaSVista Shadow SaaS Discovery platform and related services (the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

2. Description of Service

SaaSVista provides a cloud-based Shadow SaaS Discovery platform that helps organizations:

• Discover unauthorized SaaS applications used within their organization
• Analyze authentication logs from identity providers (Okta, Google Workspace, Azure AD)
• Generate risk scores and security assessments for discovered applications
• Provide dashboard reporting and data export capabilities
• Process partner referrals and commission payments

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. You represent that you are authorized to bind your organization to these Terms.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials.

4. Subscription and Payment Terms

4.1 Subscription Plans

We offer various subscription plans as described on our pricing page. All fees are quoted in US dollars and are non-refundable except as expressly stated.

4.2 Free Trial

We offer a 14-day free trial. No payment method is required during the trial period. The trial automatically expires after 14 days unless you subscribe to a paid plan.

4.3 Payment and Billing

• Subscription fees are billed monthly or annually in advance
• Payment must be made via credit card or approved payment method
• Fees are automatically charged on your billing date
• Late payments may result in service suspension
• You are responsible for applicable taxes

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. We do not provide refunds for partial months or years, except as required by law.

5.1 Permitted Use

You may use our Service only for legitimate business purposes in accordance with these Terms and applicable laws.

5.2 Prohibited Activities

You agree not to:

• Violate any applicable laws or regulations
• Access or attempt to access systems or data without authorization

• Reverse engineer, decompile, or disassemble the Service
• Share your account credentials with unauthorized parties
• Use the Service to monitor competitors or for competitive intelligence
• Transmit viruses, malware, or other harmful code

6. Data and Privacy

You retain ownership of your data. We process your data solely to provide the Service as described in our Privacy Policy. You are responsible for ensuring you have appropriate rights to provide data to us.

We retain your data as described in our Privacy Policy. Upon termination, we will delete your data within 90 days, except as required for legal compliance.

7. Intellectual Property

The Service and all intellectual property rights therein are owned by SaaSVista. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

7.2 Your IP Rights

You retain ownership of your data and content. You grant us a limited license to process your data solely to provide the Service.

8. Service Availability

8.1 Service Level

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects service availability.

8.2 Service Modifications

We may modify, update, or discontinue features of the Service with reasonable notice. We will not materially reduce core functionality during your subscription term.

9. Partner Program

Our partner program offers commission payments for qualified referrals. Partner terms are governed by separate partner agreements and these Terms.

• Partners must comply with our partner code of conduct
• Commission rates and payment terms are specified in partner agreements
• We reserve the right to modify or terminate the partner program
• Fraudulent referrals will result in program termination

10. Disclaimers and Limitations

10.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

You agree to indemnify and hold harmless SaaSVista from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

12. Termination

12.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account dashboard or contacting support.

12.2 Termination by Us

We may terminate your account immediately for material breach of these Terms, non-payment, or if required by law. We will provide reasonable notice when possible.

13. Governing Law and Disputes
